NDA process
A non-disclosure agreement (NDA) protects confidential information that we share with, or receive from, a customer or supplier. Raise one before you share anything sensitive.
Standard or non-standard?
| Type | Who may sign for Northwind |
|---|---|
| Standard-form NDA (our template, unchanged) | General Counsel (Marcus Webb) or Senior Counsel (Alice Moreno) |
| Anything else (the other side's template, or changes to ours) | Handled under the signing rules in Who can sign a contract |
Steps
- Tell Legal who the other party is and why you need the NDA.
- Legal sends our standard-form NDA. This normally takes 3 business days.
- The other party reviews it. If they ask for changes, Legal decides whether it is still a standard NDA.
- Both sides sign. Do not start sharing confidential material until the NDA is signed.
- Legal stores the signed copy; see Records retention.
Things to remember
- An NDA ends after a set number of years. Confidentiality in a customer's MSA is separate; see the customer pages for each customer's term.
- NDA documents have IDs like
NDA-<CUSTOMER>. - If you receive a confidential document by mistake, do not share it; tell Legal.
